This Agreement takes effect on the date you first access, download, copy, or otherwise use the API or SDK, the "Effective Date".
This Agreement is the entire agreement between you and KindWorld for the Service.
This Agreement continues until terminated under its terms. Provisions that by their nature should survive termination will survive.
This Agreement incorporates KindWorld's and .
If this Agreement conflicts with the Terms of Use or Privacy Policy, this Agreement prevails.

1. Definitions
1.1 "API" or "KindWorld API" means the back-end routing, aggregation, and data interfaces made available by KindWorld.
The API may include smart routing logic for token swaps, perpetual futures data access, prediction market feeds, and staking integrations. It also includes associated object code, software libraries, tooling, sample source code, published specifications, and Documentation.
The API includes any future, updated, or modified versions furnished by KindWorld at its sole discretion.
1.2 "SDK" or "KindWorld SDK" means the tools, libraries, and resources that allow the Licensee to use or integrate the API.
The SDK includes any future, updated, or modified versions furnished by KindWorld at its sole discretion.
1.3 "Documentation" means all programmer guides, integration manuals, technical specifications, and materials needed for use with the API and SDK, including Integrator Guidelines published on the KindWorld Developer Portal.
1.4 "Licensee's Product" means any product, service, or application developed by the Licensee that integrates or uses the API and or SDK.
2. Grant of licence
2.1 Subject to this Agreement, KindWorld grants the Licensee a limited, non-exclusive, fee-bearing, non-transferable, non-sublicensable licence to use the API and or SDK during the term of this Agreement.
This licence applies only to development of the Licensee's Product, including informational, comparison, and testing use.
2.2 The Licensee has no right to distribute, sublicense, or otherwise transfer the API or SDK to any third party.
2.3 Accurate labelling obligation. The KindWorld API includes multiple product modules, including the KindWorld DEX Aggregator, KindWorld Perps integration, KindPredict market data feeds, and KNS Staking interfaces.
Where the Licensee uses any API module or SDK component, the Licensee must accurately and prominently label the specific KindWorld product or API used in any Licensee's Product visible to end users.
It is misleading, and a breach of this Agreement, to label output from one KindWorld API module as another, or to describe any API output as a product or service it is not.
The Licensee accepts that breach of this clause entitles KindWorld to seek indemnification for all losses, damages, and costs, including consequential economic loss, arising from that breach.
2.4 For uses of the API or SDK not expressly covered by this Agreement, the Licensee must obtain prior written consent from KindWorld by contacting [email protected].
2.5 Representations. Both parties represent that they are duly organised, validly existing, and have full authority to enter into and perform this Agreement.
The Licensee represents that it is not identified on, and does not engage in transactions with, any party listed on any sanctions list maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control, OFAC, or any equivalent authority.
2.6 By providing access to the API and SDK, KindWorld provides a back-end technical service only.
KindWorld is not a party to any agreement between the Licensee and its end users. KindWorld does not act as trustee, custodian, fund manager, or service provider for any digital asset.
2.7 Independent contractors. The parties act as independent contractors.
Nothing in this Agreement creates an employment, joint venture, partnership, or agency relationship.
3. Restrictions and obligations
3.1 The Licensee may copy the API or SDK only to the extent strictly necessary for the purposes of this licence.
3.2 Except as expressly authorised under this Agreement, the Licensee shall not, and shall not permit or authorise any other person to:
- a. Use the API or SDK in any manner not expressly authorised by this Agreement.
- b. Use the API or SDK, or develop or operate the Licensee's Product, for any illegal, unauthorised, or improper purpose, or in a manner that violates any applicable law, regulation, or third-party right, including laws relating to virtual assets, financial services, data privacy, international trade, or export of technical data.
- c. Remove any legal, copyright, trademark, or other proprietary notices contained in or on the API, SDK, Documentation, or related materials.
- d. Sell, lease, share, transfer, or sublicense the API, SDK, or any content obtained through the API to any third party, directly or indirectly.
- e. Exceed reasonable request volumes or otherwise engage in excessive, abusive, or non-compliant usage as determined by KindWorld at its sole discretion.
- f. Use the API or SDK for competitive benchmarking or publish performance information, including uptime, response time, or comparative analysis, without KindWorld's prior written consent.
- g. Combine API content with content obtained through scraping or any means outside the API.
- h. Interfere with, disrupt, degrade, or impair the integrity or operation of the API, KindWorld's systems, or connected infrastructure, including by probing, scanning, testing for vulnerabilities, or attempting to gain unauthorised access.
- i. Transmit through the Licensee's Product any content that is illegal, defamatory, obscene, discriminatory, harmful, or offensive, promotes illegal activity, contains malicious code, or could harm minors.
- j. Copy, adapt, reverse-engineer, decompile, disassemble, translate, or create derivative works of the API, SDK, or Documentation by any means.
- k. Make any representations or warranties regarding the API or SDK, or make any statement on behalf of KindWorld.
- l. Take any action that would subject the API or SDK to any third-party licence terms, including open-source software licence obligations.
3.3 Where the Licensee's Product competes, in whole or in part, with any KindWorld product or Service, KindWorld reserves the right to access the Licensee's Product and request information about it.
The Licensee grants KindWorld a non-exclusive, royalty-free, non-transferable, non-sublicensable licence to access and use the Licensee's Product, including any API, SDK, logos, brand assets, technical data, or product information, for any purpose.
3.4 Third-party software. Effective use of the API and SDK may require third-party development tools, compilers, or other software.
The Licensee is solely responsible for procuring that software and any required licences. KindWorld makes no representation or warranty regarding third-party software and assumes no liability in connection with it.
3.5 No right is granted to the Licensee to sublicense its rights under this Agreement.
All rights not expressly granted are reserved by KindWorld. No licence is granted, whether by implication, estoppel, or otherwise, under any patent, copyright, trade secret, trademark, or other intellectual property right of KindWorld.
3.6 No assertion. The Licensee agrees not to assert any patent rights related to the API, SDK, or applications developed using them against KindWorld, its contributors, or other licensees.
3.7 Updates. KindWorld may provide updates or upgrades to the API or SDK at any time under its operational policies, including automatic updates.
If the Licensee does not accept those updates, KindWorld may withhold access to the API, SDK, and or Service without breach of this Agreement.
4. Intellectual property
4.1 As between KindWorld and the Licensee, KindWorld and or its licensors own and retain all intellectual property rights in the API, SDK, and Documentation.
This includes patents, copyrights, trade secrets, trademarks, and any corrections, updates, improvements, or modifications.
To the extent any such rights arise in favour of the Licensee, the Licensee irrevocably assigns those rights to KindWorld.
4.2 KindWorld has the exclusive right to apply for and register all intellectual property protections connected with the API, SDK, and Documentation.
4.3 This Agreement grants a limited right of use only.
It does not transfer title or ownership of the API or SDK to the Licensee.
4.4 KindWorld does not store, transmit, or receive digital assets.
Digital assets exist by virtue of ownership records on the relevant blockchain network. Any transfer of title connected with transactions involving the API occurs on-chain and is performed by the Licensee's Product.
KindWorld assumes no responsibility for those transactions and cannot guarantee the transfer, legality, authenticity, or value of any digital assets involved.
5. API keys, access, and support
5.1 Subject to payment of applicable fees, KindWorld will issue the Licensee unique API keys, tokens, or other access credentials, the "Keys".
The Licensee may access the API only using Keys issued by KindWorld. The Licensee must not sell, transfer, sublicense, or disclose its Keys to any third party.
The Licensee is fully responsible for all activity conducted using its Keys, whether by the Licensee or any third party.
5.2 KindWorld does not guarantee the availability, performance, or uptime of the API or SDK.
KindWorld may conduct maintenance or discontinue any part of the Service at any time, with or without notice.
5.3 KindWorld does not guarantee any support under this Agreement.
Nothing in this Agreement obliges KindWorld to provide consulting, bug fixes, upgrades, or other support services.
In the event of system degradation or an emergency, KindWorld may suspend access to the API and or SDK at its sole discretion.
5.4 KindWorld reserves the right to modify the method of access to the API or SDK at any time to protect the security and stability of its systems.
6. Fees and payment
6.1 KindWorld charges subscription or usage fees for access to the API and or SDK.
Fees may be fixed, infrastructure-based, and or variable based on usage volume or revenue generated by the Licensee's Product.
6.2 Current fee schedules are published on the KindWorld Developer Portal.
By accessing, downloading, or using the API or SDK, you are deemed to have accepted the applicable fees.
6.3 Fees may be reviewed by KindWorld commencing three (3) months after the Effective Date.
Updated fees will be notified via the Developer Portal. Continued use of the API or SDK constitutes acceptance of revised fees.
7. Licensee obligations
7.1 The Licensee agrees to promptly report to KindWorld any errors, vulnerabilities, or difficulties discovered in connection with the API or SDK, including the conditions and symptoms of those issues.
7.2 The Licensee shall perform reasonable sanity, security, and technical testing of the API or SDK as requested by KindWorld from time to time.
7.3 The Licensee is solely responsible for ensuring the Licensee's Product complies with all applicable laws and regulations, including consumer protection, KYC, AML, sanctions, counter-terrorism financing, securities, virtual asset, and payment laws.
The Licensee shall:
- a. Obtain and maintain all necessary licences, permits, and authorisations.
- b. Implement transaction screening and wallet monitoring, including blocking sanctioned, flagged, or illicit wallets in line with best market practice.
7.4 The Licensee acknowledges that all KYC, AML, and regulatory compliance obligations for its end users are the Licensee's sole responsibility.
KindWorld bears no liability for the Licensee's failure to comply with those obligations. The Licensee agrees to provide information to KindWorld if reasonably requested.
7.5 Upon written request from KindWorld, the Licensee shall promptly block any specified wallet or address from accessing the Licensee's Product and or the API integration.
7.6 The Licensee shall immediately notify KindWorld if:
- a. It becomes aware of any security incident, cyberattack, or economic exploit relating to the Licensee's Product.
- b. The Licensee's Product, API, or SDK becomes subject to any legal or regulatory investigation or enforcement action.
7.7 The Licensee is solely responsible for all customer service and support connected with the Licensee's Product.
8. Confidentiality and publicity
8.1 The API and SDK contain valuable proprietary information and trade secrets of KindWorld.
The Licensee shall maintain their confidentiality and shall not disclose or make unauthorised use of that information.
8.2 The Licensee agrees not to disparage KindWorld, its affiliates, directors, employees, contractors, or agents, or make any false, misleading, or negative statements about KindWorld, its Services, or products to any party.
8.3 KindWorld may disclose and publicise the existence of the business relationship between KindWorld and the Licensee in its marketing and promotional materials without further consent.
8.4 Subject to clause 2.3, the Licensee's Product shall prominently display the designation "Powered by KindWorld" to end users.
9. No warranty
9.1 The API, SDK, and Documentation are provided "AS IS" without warranty of any kind.
To the fullest extent permitted by law, KindWorld expressly disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, satisfactory quality, title, non-infringement, and absence of defects.
9.2 KindWorld does not warrant that the API, SDK, or Documentation are suitable for the Licensee's use, free from errors or defects, or that operation will be uninterrupted.
No oral or written statement by KindWorld creates any warranty not expressly stated in this Agreement.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KINDWORLD SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE API, SDK, OR DOCUMENTATION.
THIS INCLUDES LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, AND ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, EVEN IF KINDWORLD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
KINDWORLD'S TOTAL AGGREGATE LIABILITY TO THE LICENSEE UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED USD $100 OR THE TOTAL FEES PAID BY THE LICENSEE IN THE THREE (3) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
THESE LIMITATIONS APPLY REGARDLESS OF THE BASIS OF LIABILITY, WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND TO THE FULLEST EXTENT PERMITTED BY LAW.
11. Indemnity
The Licensee agrees to indemnify, defend, and hold harmless KindWorld and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from or relating to:
- a. The Licensee's use of the API or SDK.
- b. The Licensee's Product.
- c. Any breach of this Agreement by the Licensee.
- d. Any negligence, wilful misconduct, or violation of applicable law by the Licensee.
12. Disclaimers
12.1 THE API AND SDK ARE PROVIDED "AS IS" AND "AS AVAILABLE."
KINDWORLD MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, RELIABILITY, ACCURACY, OR NON-INFRINGEMENT.
12.2 KINDWORLD IS NOT A DIGITAL ASSET EXCHANGE, BROKER, DEALER, FUND MANAGER, CUSTODIAN, FINANCIAL INSTITUTION, OR CREDITOR.
NEITHER THE API NOR THE SDK CONSTITUTES OR PROVIDES ANY FINANCIAL, INVESTMENT, OR REGULATED SERVICE OF ANY KIND.
12.3 THE API FUNCTIONS SOLELY AS A BACK-END TECHNICAL SERVICE.
ALL DECISIONS TO TRANSACT, INCLUDING IN CONNECTION WITH TOKEN SWAPS, PERPETUAL FUTURES, PREDICTION MARKET POSITIONS, OR STAKING, ARE MADE SOLELY BY THE END USER AND ARE THEIR SOLE RESPONSIBILITY.
12.4 KINDWORLD IS NOT A COUNTERPARTY TO ANY DIGITAL ASSET TRANSACTION FACILITATED THROUGH THE API OR THE LICENSEE'S PRODUCT.
ALL SUCH TRANSACTIONS OCCUR ON THE RELEVANT BLOCKCHAIN NETWORK OR THIRD-PARTY PROTOCOL.
12.5 KindWorld cannot be held responsible for losses arising from software vulnerabilities, user error, wallet compromise, server failure, data loss, smart contract behaviour, or unauthorised third-party access, including phishing, brute-force attacks, or other exploits targeting the Licensee's Product or end users.
12.6 KindWorld expressly disclaims responsibility for the data practices of any third-party API provider, oracle, or protocol integrated with or accessible through the API or SDK.
13. Term and termination
13.1 This Agreement is effective from the date of first use of the API or SDK.
There is a minimum term of thirty (30) days, payable in advance, or such other minimum term as notified via the Developer Portal.
13.2 This Agreement will terminate automatically upon the Licensee's breach of any term.
Waiver of a specific breach does not constitute waiver of any later breach.
13.3 Either party may terminate this Agreement at any time for any reason by written notice to the other party.
If KindWorld terminates this Agreement, it will provide a pro-rata refund of any unused pre-paid fees.

13.4 Upon termination, the Licensee must immediately cease all use of the API and SDK and destroy or return all copies of the API, SDK, and Documentation.
13.5 KindWorld reserves the right to audit the Licensee's use of the API and SDK at any time. The Licensee agrees to provide reasonable assistance for that audit.
13.6 All rights of KindWorld and obligations of the Licensee that by their nature are continuing shall survive expiration or termination of this Agreement.
14. Governing law and dispute resolution
14.1 This Agreement shall be governed by the laws of UAE, without regard to conflict of laws principles.
14.2 Any dispute arising out of or in connection with this Agreement, including its formation, validity, breach, or termination, shall first be subject to good-faith negotiation between the parties for thirty (30) days after written notice of the dispute.

14.3 If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by binding arbitration under the rules of the London Court of International Arbitration, LCIA.
The arbitration will be conducted in English. The seat of arbitration will be London, United Kingdom.
The parties waive any right to class arbitration or representative proceedings. Judgment on any award may be entered in any court of competent jurisdiction outside the United States of America.
14.4 Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or restrain unauthorised use of intellectual property without breaching this Agreement.
15. Changes to this Agreement
KindWorld may amend this Agreement at any time by posting a revised version on the Developer Portal with an updated effective date.
Continued use of the API or SDK after that posting constitutes acceptance of the revised terms.
If you do not agree with an amendment, your sole remedy is to stop using the API and SDK.
16. Miscellaneous
16.1 Assignment. The Licensee may not assign this Agreement or any rights under it without KindWorld's prior written consent.
Any change of control of the Licensee is deemed an assignment. Any prohibited assignment renders this Agreement immediately void.
16.2 Waiver. No failure by KindWorld to exercise any right under this Agreement constitutes a waiver of that right.
16.3 Severability. If any provision of this Agreement is found invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable.
All other provisions remain in full force and effect.
16.4 Entire agreement. This Agreement, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between the parties with respect to the API and SDK.
It supersedes all prior agreements and understandings, whether oral or written.
16.5 Force majeure. Neither party shall be liable for failure to perform its obligations under this Agreement where caused by events beyond its reasonable control, including acts of God, war, civil unrest, government regulation, or infrastructure failure.
Affected obligations are suspended for the duration of the force majeure event.
16.6 Acknowledgement. By installing, copying, or otherwise using the KindWorld API or SDK, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
